InteliPAK Terms & Conditions

Last updated: September 2026

These Terms & Conditions govern the use of intelipak.co.uk and the purchase of products from InteliPAK.

In these Terms, “InteliPAK”, “we”, “us” and “our” refer to InteliPAK. “You” and “customer” refer to the person or organisation purchasing from us or using our Website.

Nothing in these Terms affects statutory rights that cannot legally be excluded or restricted.

1. About These Terms

These Terms apply to purchases made through our Website and, where incorporated into the agreement, orders placed directly with InteliPAK by telephone, email, quotation or other agreed method.

Separate quotations, trade agreements or written terms agreed between InteliPAK and a business customer may supplement or override the relevant provisions of these Terms.

Our Shipping & Delivery Policy, Returns & Refunds Policy and Privacy Policy should be read alongside these Terms.

If you purchase as a consumer rather than for business purposes, you may have additional rights under UK consumer legislation.

2. Business and Consumer Customers

InteliPAK primarily supplies businesses, including cafés, restaurants, takeaways, caterers, hospitality businesses and other organisations.

A business customer is a customer purchasing wholly or mainly for the purposes of a trade, business, craft or profession.

A consumer is an individual purchasing wholly or mainly for purposes outside their trade, business, craft or profession.

Certain provisions of these Terms apply differently to consumers and business customers. Nothing in these Terms is intended to remove statutory consumer rights.

The CMA confirms that where the same terms are used for both consumers and businesses, the consumer-facing provisions must remain fair and compliant with consumer law.

3. Products and Product Information

We take reasonable care to ensure product descriptions, specifications, dimensions, quantities and images are accurate.

Minor differences may occur between product images and the products supplied, particularly in relation to colour, appearance, manufacturing batches and packaging.

Any dimensions described as approximate are subject to reasonable manufacturing tolerances.

We reserve the right to improve or modify products where this does not materially change the product ordered.

Nothing in this section limits your rights where goods are faulty, incorrectly supplied or materially different from their description.

4. Prices and VAT

Prices are those displayed on the Website or stated in an applicable quotation at the time an order is placed.

VAT will be charged at the applicable rate.

Where prices are presented to consumers, the total price including applicable taxes and mandatory charges will be made clear before the customer becomes bound by the order. UK distance-selling rules require businesses to provide clear information regarding price, taxes, delivery charges and delivery arrangements before a consumer places an order.

Prices may change from time to time. A price change will not normally affect an order we have already accepted unless you agree to the change or the original price resulted from an obvious error.

5. Placing an Order

When you submit an order through the Website, you are offering to purchase the products in that order.

Receiving an automated order acknowledgement does not necessarily mean that we have accepted the order.

A contract will normally be formed when we confirm acceptance of the order or dispatch the goods, whichever occurs first.

For custom or bespoke orders, acceptance may instead occur when we confirm the quotation/order in writing and any required payment, artwork approval or other agreed condition has been completed.

We reserve the right to decline an order before it has been accepted, for example where a product is unavailable, payment cannot be authorised, there is an obvious pricing error, delivery cannot reasonably be made to the requested location or we reasonably suspect fraud or unlawful activity.

If payment has already been taken for an order that we cannot accept, the applicable amount will be refunded.

6. Payment

Payment must be made using one of the payment methods offered by InteliPAK.

Unless credit terms or another arrangement have been agreed in writing, payment must be received before goods are dispatched or custom production begins.

Business customers with approved trade accounts must comply with the payment terms agreed for their account.

We may suspend further supply where overdue sums remain unpaid, subject to any applicable legal requirements.

7. Stock Availability

All products are subject to availability.

We take reasonable steps to maintain accurate stock information but occasional stock discrepancies may occur.

If part of an order becomes unavailable, we will contact you and may offer to supply the available products, wait for replenishment, provide a suitable alternative with your agreement, or refund the unavailable item.

We will not substitute products without your agreement where the substitution would materially alter the order.

8. Custom and Branded Packaging

Custom packaging includes products manufactured, printed or personalised specifically for a customer, including branded coffee cups, pizza boxes, bags, greaseproof paper, labels, stickers and other printed packaging.

Custom orders may be subject to minimum order quantities, production lead times and separate quotation terms.

Any applicable minimum quantity, production tolerance or special manufacturing condition will be communicated before the order is confirmed.

9. Artwork and Proof Approval

Where artwork approval is required, InteliPAK will provide a digital proof or other agreed artwork for approval before production.

You are responsible for carefully checking the proof before approving it, including spelling, contact information, logos, colours, positioning, dimensions and other customer-supplied information.

Once you approve the artwork, we will manufacture the goods according to the approved specification.

We will not normally be responsible for an error that appeared clearly in artwork which you approved, where the final goods have been manufactured in accordance with that approved artwork.

This does not exclude responsibility for a manufacturing error made by InteliPAK.

10. Colour and Printing Variations

Screens, printers, materials and manufacturing processes can reproduce colours differently.

Digital artwork shown on a monitor should therefore be treated as a representation rather than an absolute colour match unless a particular colour standard or physical proof has been expressly agreed.

Reasonable manufacturing variations may occur between production batches.

Where an exact Pantone or other colour specification is important, this should be agreed with us before production.

11. Customer Artwork and Intellectual Property

Where you provide a logo, trademark, photograph, artwork or other material for printing, you confirm that you own the relevant rights or have permission to use that material.

You grant InteliPAK permission to use the supplied material only as reasonably necessary to prepare proofs, manufacture your products and fulfil the order.

You remain responsible for ensuring that customer-supplied artwork does not infringe another person's intellectual property rights.

InteliPAK retains ownership of its existing intellectual property, templates, systems and other materials unless otherwise agreed in writing.

Any ownership of bespoke design work created specifically for a customer will be governed by the applicable quotation or written agreement.

12. Approval and Production of Custom Orders

Production of custom packaging will normally begin only after any required artwork approval and payment requirements have been completed.

Estimated production lead times start from the point specified in your quotation or order confirmation, which may be the date of final artwork approval rather than the original enquiry or order date.

Production and delivery dates for custom products are estimates unless we expressly confirm a guaranteed date in writing.

13. Cancelling Custom Orders

Because custom packaging is manufactured specifically for an individual customer, cancellation rights differ from standard stock items.

Where you are a consumer, goods made to your specifications or clearly personalised are generally excluded from the normal statutory change-of-mind cancellation right.

If you request cancellation before production begins, please contact us immediately. We will confirm whether cancellation remains possible and whether reasonable costs have already been incurred.

Once production of an approved custom order has commenced, the order cannot normally be cancelled for change of mind.

This does not affect your rights where custom products are faulty, damaged or materially different from the approved specification.

14. Delivery

Delivery arrangements, charges and estimated delivery times are explained in our Shipping & Delivery Policy and/or at checkout.

Delivery dates are estimates unless expressly agreed to be guaranteed.

For consumer orders, risk in the goods normally remains with InteliPAK until the goods come into the physical possession of the customer or another person identified by them, subject to applicable law.

For business orders, risk will pass in accordance with any separately agreed trade terms or, where none are agreed, upon delivery.

15. Title to Goods

Ownership of goods will not pass to a business customer until InteliPAK has received full payment for those goods.

This provision does not affect when responsibility for loss or damage may pass under the delivery provisions above.

16. Returns, Refunds and Faulty Goods

Returns, cancellations and refunds are governed by our Returns & Refunds Policy.

Consumers purchasing eligible standard products online generally have statutory cancellation rights, including a 14-day period to notify the trader of cancellation after receipt, subject to statutory exceptions.

Nothing in these Terms limits statutory rights relating to faulty, damaged or misdescribed goods.

17. Promotions and Discount Codes

Promotional offers and discount codes may be subject to additional terms communicated with the promotion.

Unless otherwise stated, discounts cannot normally be exchanged for cash or combined with another promotional offer.

We may withdraw or amend a promotion before an order has been accepted, but this will not normally affect orders already accepted under that promotion.

18. Trade Accounts and Customer-Specific Pricing

InteliPAK may offer trade accounts, negotiated prices, volume discounts or other commercial arrangements to selected business customers.

Customer-specific pricing is confidential to the applicable business account unless otherwise agreed.

Eligibility for trade pricing may depend on factors including order volume, payment history and commercial arrangements.

We reserve the right to review future trade pricing, but changes will not retrospectively alter prices for orders already accepted.

19. Website Accounts

You are responsible for maintaining the confidentiality of your account login details.

Please notify us promptly if you believe your account has been accessed without permission.

You are responsible for ensuring the contact, billing and delivery information provided through your account is accurate.

We may suspend an account where we reasonably believe it is being used fraudulently, unlawfully or in breach of these Terms.

20. Website Use

You must not misuse the Website or knowingly introduce viruses, malicious code or other technology intended to damage or disrupt the Website.

You must not attempt to gain unauthorised access to our Website, servers, accounts or systems.

Content on the Website, including InteliPAK branding, text, photography, graphics and design elements, may be protected by intellectual property rights and may not be commercially reproduced without permission except where permitted by law.

21. Third-Party Services and Links

The Website may use or link to third-party services, including payment providers, couriers and external websites.

Where you choose to access an independent third-party website, its own terms and policies may apply.

Nothing in this section excludes InteliPAK's responsibility for obligations that remain ours under the contract with you.

I would remove the current sentence specifically identifying BigCommerce as your ecommerce host. It adds little to the customer's contract and unnecessarily ties the terms to a particular technology provider. Your current Terms contain this reference.

22. Our Liability to Consumers

Nothing in these Terms excludes or limits liability where doing so would be unlawful.

In particular, nothing excludes or restricts liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or your statutory rights concerning goods.

We do not seek to exclude liability that cannot lawfully be excluded under consumer protection legislation.

This is materially safer than the existing blanket “as is”/liability wording. Government guidance specifically says terms cannot be used to avoid responsibility for matters including faulty goods, goods not as described, death or personal injury.

23. Our Liability to Business Customers

This section applies only where you purchase wholly or mainly for business purposes.

To the fullest extent permitted by law, InteliPAK will not be responsible for indirect or consequential losses, loss of anticipated profits, loss of business opportunity or loss of goodwill arising from an order.

Nothing in these Terms limits or excludes liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence or for fraud or fraudulent misrepresentation.

Any specific liability provisions contained in an agreed commercial contract or trade agreement will take precedence where applicable.

I would have this section reviewed by your solicitor before publishing, particularly if InteliPAK begins supplying much larger national contracts. Liability caps and exclusions should be designed around your insurance cover and the value of your contracts rather than copied from a generic ecommerce template.

24. Events Outside Our Reasonable Control

We will not be responsible for a delay or failure to perform an obligation where it results from circumstances outside our reasonable control.

These may include severe weather, transport disruption, industrial action, fire, flood, major supply-chain disruption, government action, interruption to utilities or communications, or other exceptional events.

Where an event materially affects an order, we will make reasonable efforts to keep you informed and minimise disruption.

This section does not remove any statutory rights available to consumers.

25. Personal Information

Our collection and use of personal information is governed by our Privacy Policy and applicable data-protection law.

Marketing communications will only be sent in accordance with applicable consent and marketing requirements.

26. Changes to These Terms

We may update these Terms from time to time, for example to reflect changes to our business, Website or legal requirements.

Changes published after a contract has already been formed will not retrospectively alter that accepted order unless required by law or separately agreed with you.

This is better than your existing clause saying continued website use automatically constitutes acceptance of any future changes.

27. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply.

28. No Waiver

If we do not immediately exercise a right available to us under these Terms, that does not mean we have waived that right.

29. Governing Law and Jurisdiction

These Terms and contracts with InteliPAK are governed by the law of Scotland.

If you are a business customer, the courts of Scotland will have jurisdiction in relation to disputes arising from these Terms or an order, unless otherwise agreed in writing.

If you are a consumer, this provision does not deprive you of any mandatory protection available under the law applicable to you or any right you may have to bring proceedings in another competent UK court.
